The terms of the arbitration agreement are as follows: (i) With the exception of claims falling under small claims court jurisdiction, where claimants may elect to pursue their claims in their local small-claims court, all disputes shall be resolved finally and exclusively by binding individual arbitration with a single arbitrator administered by ADR (Newjersey), and applicable arbitration rules for that forum, (ii) If any provision of this arbitration agreement is found unenforceable, the unenforceable provision shall be severed, and the remaining arbitration terms shall be enforced, (iii) The arbitrator’s award – that may include reasonable attorneys’ fees shall be binding on the parties and may be entered as a judgment in any court of competent jurisdiction, and (iv) Subject to and without waiver of the arbitration provisions above, you agree that any judicial proceedings (other than small claims actions in consumer cases) will be brought in and you hereby consent to the exclusive jurisdiction in the state courts in Newjersey-Date, Florida, or federal court for the Southern District of Florida.

This agreement is governed by and shall be construed under the laws of New Jersey, exclusive of any choice of law or conflict of law provisions.

(D) Jurisdiction:

In any claim or action directly or indirectly arising under this Agreement or related to it each party irrevocably submits to the exclusive personal jurisdiction of the New Jersey State District Court sitting in _____________________ County, New Jersey or of the United States Court for the District of ___________. Each party waives any jurisdictional or inconvenient forum objections to these courts.

(E) Forum contractus:

This Agreement is deemed entered and performed in the State of New Jersey, United States of America.

(F) Limitation on Time to Initiate a Dispute:

Unless otherwise required by law, an action or proceeding by you relating to any dispute must commence within one year after the cause of action occurs

(G) Interpretation:

(i) These terms are a complete statement of the agreement between you and NEWJERSEYOUTPATIENTDETOX.COM

(ii) In the event of a conflict between the Terms and any other NEWJERSEYOUTPATIENTDETOX.COM agreement or policy, these Terms of Use shall prevail on the subject matter of the Terms.

(iii) If any provision of the Terms is invalid or unenforceable under applicable law, then it shall be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

(iv) Headings are included for convenience only and shall not be considered in interpreting this agreement.

(v) These Terms of Use do not limit any rights that we may have under trade secret, copyright, patent, or other laws.

(vi) Failure to assert any right under these Terms of Use shall not constitute a waiver of such right.

(vii) No waiver of any term of the Agreement shall be deemed a further or continuing waiver of such term or any other term.

(H) Assignment:

You may not assign any rights or obligations under this Agreement without NEWJERSEYOUTPATIENTDETOX.COM’s prior written consent. NEWJERSEYOUTPATIENTDETOX.COM may assign all or part of this Agreement.

(I) Survival:

All sections of this Agreement which, by their nature are designed to survive expiration or termination of this Agreement, including but not limited to, indemnity and limitation of liability clauses, shall survive your ending of use of the website and related services.

(J) Notices:

In addition to US certified mail with return receipt, notices can be provided by electronically date stamped communications, including and not limited to emails, text messages and facsimile.

(K) Waiver:

No waiver shall be deemed a further or continuing waiver of any term or condition.

(L) Severability:

If any of the provisions of the Terms of Use are adjudicated as unenforceable by a court or other tribunal of competent jurisdiction, then those provisions shall be limited or eliminated to the minimum extent necessary to allow the remainder of this Agreement to retain its full force and effect.
